Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the itechSarathi web applications, mobile applications, ERP/CRM modules, software solutions, websites, APIs, cloud-based systems, and any related services (collectively, the "Platforms").

By accessing, installing, subscribing to, or using our Platforms, you agree to be bound by these Terms.

If you do not agree, you must discontinue use immediately.

These Terms constitute a legally binding agreement between:

itechSarathi ("Company", "we", "us", "our")

AND

You/Your Organization ("Client", "User", "Customer").

1. DEFINITIONS

  • "Platform" includes all ERP/CRM systems, software, mobile apps, websites, dashboards, and modules offered by itechSarathi.
  • "User" means any individual or organization using our Platform.
  • "License" means the right to access and use our software under a subscription.
  • "Modules" refer to ERP, CRM, HRM, Inventory, Accounting, Billing, POS, Project Management, and all other available software modules.
  • "Services" include implementation, training, support, customization, and AMC.
  • "Client Data" refers to information, records, business data, or documents entered by the Client.
  • "Confidential Information" covers business, technical, or financial information shared between the parties.

2. ACCEPTANCE OF TERMS

By using our Platforms, you:

  1. Accept these Terms and our Privacy Policy
  2. Confirm that you have the authority to bind your organization
  3. Agree that continued use constitutes acceptance of future updates

itechSarathi reserves the right to modify these Terms at any time.

3. ELIGIBILITY

To use our Platforms, you must:

  • Be 18+ years old
  • Be a legally registered business or authorized representative
  • Have the capacity to enter into binding agreements

4. LICENSE & USAGE RIGHTS

Upon subscription, itechSarathi grants you a:

  • Non-exclusive
  • Non-transferable
  • Non-sublicensable

right to use the Platform for internal business purposes.

Restrictions:

You may NOT:

  • Copy, modify, or reverse engineer the software
  • Sell, transfer, or sublicense the software
  • Use the software for illegal or unauthorized activities
  • Interfere with system integrity or security
  • Use the Platform in a way that disrupts our service for others

All intellectual property rights remain with itechSarathi.

5. CLIENT RESPONSIBILITIES

The Client agrees to:

  • Provide accurate registration information
  • Maintain confidentiality of login credentials
  • Ensure proper device security
  • Not misuse or overload system resources
  • Ensure compliance with applicable laws

Any activity using your account is deemed authorized by you.

6. SUBSCRIPTION, PAYMENTS & RENEWALS

  • Software access is provided on a subscription/license basis.
  • Fees must be paid in advance for activation or renewal.
  • AMC/support charges may apply for continued service.
  • Non-payment may result in temporary suspension or permanent termination of access.

All payments made are non-refundable, unless otherwise stated in a separate agreement.

7. CUSTOMIZATION & IMPLEMENTATION

itechSarathi may offer:

  • Custom module development
  • API integrations
  • Workflow modifications
  • ERP migration services

All custom development is billed separately.

Delivery timelines depend on:

  • Requirement clarity
  • Technical feasibility
  • Client responsiveness

8. SUPPORT & MAINTENANCE

Support includes:

  • Bug fixes
  • Basic troubleshooting
  • Standard updates
  • Email/phone/chat assistance

Priority or extended support may require additional charges.

Support does NOT cover:

  • Client-side hardware/network failures
  • Data recovery caused by user error
  • Unauthorized third-party modifications
  • Customizations outside agreed scope

9. DATA OWNERSHIP & PRIVACY

  • All business data entered by the Client remains the sole property of the Client.
  • itechSarathi acts as a data processor.
  • Client data will not be sold or misused.
  • Data may be stored on servers within or outside India.

Users must review our Privacy Policy for full data processing details.

10. DATA BACKUP & SECURITY

itechSarathi uses reasonable security practices but does not guarantee:

  • Uninterrupted access
  • 100% data security
  • Protection from cyberattacks, force majeure, or user-side breaches

Clients are encouraged to export/backup their own data regularly.

11. LIMITATION OF LIABILITY

itechSarathi is not liable for:

  • Loss of data
  • Business interruption
  • Financial losses
  • Loss of profits
  • User errors
  • Third-party integrations or failures
  • Unauthorized access due to client negligence

Total liability, if any, shall not exceed the amount paid by the client in the last 12 months.

12. TERMINATION

itechSarathi may terminate access if:

  • Payments are overdue
  • Terms are violated
  • Illegal or fraudulent activity is detected
  • Abuse or misuse of the Platform occurs

Upon termination:

  • Access to the system may be restricted
  • Data may be deleted after the retention period
  • No refunds will be issued

13. INTELLECTUAL PROPERTY

All software, modules, designs, UI/UX, source code, logos, training content, and documentation are the exclusive property of itechSarathi.

The Client may not:

  • Copy
  • Reproduce
  • Distribute
  • Resell
  • Reverse engineer

any part of the Platform.

14. CONFIDENTIALITY

Both parties agree to:

  • Keep confidential information private
  • Not disclose it to third parties
  • Use it only for purposes defined in this agreement

This clause survives contract termination.

15. THIRD-PARTY SERVICES

The Platform may integrate with:

  • Payment gateways
  • SMS gateways
  • APIs
  • GPS services
  • External CRMs or tools

itechSarathi is not responsible for the actions or failures of such third parties.

16. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of India.

Any disputes shall be settled in the courts of Ahmedabad, Gujarat.

17. FORCE MAJEURE

itechSarathi is not liable for failure to perform obligations caused by:

  • Natural disasters
  • War or terrorism
  • Government actions
  • Server/infrastructure failures
  • Internet outages
  • Any event beyond reasonable control

18. CONTACT & GRIEVANCE REDRESSAL

As required under the IT Act & SPDI Rules, a Grievance Officer is appointed.
